On 28 February 2008, BerMaz Motor Sdn Bhd ("BerMaz") entered into a distribution agreement with Mazda Motor Corporation of Japan ("MC") for the distribution and retail of Completely-Built-Up ("CBU") Mazda motor vehicles andparts in Malaysia effective 1 April 2008. Subsequently, on 29 February 2008, BerMaz had also entered into a Share Sale Agreement with Cycle & Carriage Bintang Berhad ("CCB") for

the proposed acquisition of CCB's shareholding in Hercules Automotive Engineers Sdn Bhd, Mazda's business operating company. Mazda's factory in Hiroshima is one of the largest single-site automobile plants in the world, with an annual production capacity of over 500,000 units.
